Terms of Service

1. Acceptance of terms

These Terms of Service ("Terms") govern your access to and use of the PayWren platform. By registering for an account you agree to these Terms. If you do not agree, you may not use PayWren.

2. The service

PayWren provides invoicing, expense tracking, time tracking, and financial reporting tools designed for New Zealand freelancers and contractors. The service is provided on an "as is" and "as available" basis. We reserve the right to modify or discontinue any feature at any time.

3. Accounts

• You must provide accurate information when creating your account.
• You are responsible for maintaining the security of your account credentials.
• You must be at least 18 years old to use PayWren.
• One person or legal entity may not maintain more than one free account.
• You are responsible for all activity that occurs under your account.

4. Acceptable use

You agree not to use PayWren to: violate any applicable law or regulation; infringe third-party intellectual property rights; transmit malicious code; attempt to gain unauthorised access to any part of the service; or misrepresent your identity or business.

5. Billing and payments

• Free plan features are provided at no charge, subject to usage limits.
• Paid plans are billed monthly or annually in NZD.
• All payments are processed by Stripe. By subscribing you authorise recurring charges.
• Subscriptions renew automatically unless cancelled before the renewal date.
• Refunds are handled on a case-by-case basis — contact support@paywren.app.
• We reserve the right to change pricing with 30 days' notice.

6. Your data

You retain ownership of all data you input into PayWren (invoices, client records, expenses, etc.). By using the service you grant PayWren a limited licence to process your data solely to provide the service. See our Privacy Policy for full details on how we handle your data.

7. Intellectual property

PayWren and its original content, features, and functionality are owned by PayWren and are protected by New Zealand and international intellectual property laws. You may not copy, modify, or distribute any part of the service without our written permission.

8. Tax and financial information

PayWren is a productivity tool, not a registered tax agent or financial adviser. Information provided by PayWren (GST calculations, WT rates, IRD form guidance) is for general reference only and does not constitute professional tax or financial advice. You are responsible for ensuring the accuracy of your tax filings. We recommend consulting a qualified accountant for complex matters.

9. Limitation of liability

To the maximum extent permitted by New Zealand law, PayWren shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of or inability to use the service. Our total liability for any claim shall not exceed the amount you paid to PayWren in the 12 months preceding the claim.

10. Warranties

PayWren is provided without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the service will be uninterrupted, error-free, or free of viruses.

11. Termination

You may cancel your account at any time from the Settings page. We may suspend or terminate your account immediately if you breach these Terms. Upon termination you may request an export of your data within 30 days.

12. Governing law

These Terms are governed by the laws of New Zealand. Any disputes will be subject to the exclusive jurisdiction of the New Zealand courts.

13. Changes to these terms

We may update these Terms from time to time. We will notify you of material changes via email or an in-app notice at least 14 days before they take effect. Continued use of PayWren after changes take effect constitutes acceptance.
